TERMS OF USE 

1. Background

By accessing the OpenSyllo website (hereinafter the “Site”), you are agreeing to these Terms of Use. The terms “user” or “you” refer to all users and visitors to the Site.

The reproduction and use of the materials (or any information contained therein, including, in particular, articles, graphic images, illustrations, diagrams and audiovisual materials) published on this Site are authorised exclusively under the following conditions:

a) the supplier and application showcase and the public description of dataset metadata are intended solely for informational, reference and market evaluation purposes; their reproduction and use are authorised only for informational purposes, and their modification, in whole or in part, is not authorised;

b) any reproduction must retain all original notices and references, including copyright notices.

Any other use of the materials or information made available on this Site is expressly prohibited.

This Site and its contents are protected by copyright and other intellectual property rights belonging to APS - Administração dos Portos de Sines e do Algarve, S.A., hereinafter referred to as APS.

These Terms of Use constitute a legally binding agreement between APS and the user.

2. Definitions

  • Organisation: A legal entity or organisation registered on the Platform, which holds the subscriptions and is legally and financially responsible for the actions of its users. Provided it holds the necessary permissions (Roles), the Organisation may act as a Data Provider, Data Consumer, Application Developer or Application Subscriber, and is eligible to join the Marketplace.

  • User ID: The valid and confirmed email address, which serves as a unique and personal identifier for accessing the Platform.

  • Service Plan: A subscription type that sets the data storage limits and the volume of operations permitted within a given Billing Cycle

  • Marketplace: Areas of the Platform dedicated to the promotion of profiles of organisations, services, datasets and technological solutions, aimed at facilitating contact and collaboration between users.

  • Organisation Administrator: A user who holds management privileges over an Organisation’s account, being responsible for configuring access for other users within the same organisation, managing payment methods and selecting Service Plans.

  • Data Provider: A user or organisation that makes datasets available on the Platform, responsible for managing them, defining access rules and choosing the Service Plan appropriate to their storage volume and activities.

  • Data Consumer: A user or organisation that subscribes to access data made available by Data Providers, and is responsible for complying with the specific terms of use for each subscription.

  • Application Developer: A user or organisation that develops and integrates technological solutions into the Platform, and is responsible for the maintenance and security of the applications they submit to the Showcase.

  • Application Subscriber: A user or organisation that purchases or uses the solutions made available on the application marketplace, establishing, where applicable, a direct relationship with the relevant Application Developer.

3. Subject

The Platform consists of a digital ecosystem managed by APS that aims to promote interoperability and innovation in the logistics and port sector through the following components:

  • Data Marketplace: Enables the hosting, publication and subscription to datasets;

  • Supplier Marketplace: A space for digital service providers, such as those offering datasets and technological solutions, to showcase their services, applications and expertise, facilitating contact between partners within the ecosystem;

  • Applications Marketplace: An area dedicated to showcasing technological solutions developed on the platform, serving as a showcase for the community’s technical potential.

4. Features

4.1 Platform Features:

  • Data Marketplace: The Data Marketplace is an intermediary platform for the organisation and sharing of datasets, operating under the following conditions:

    • Submission and Curation: The user (Data Consumer) proposes the technical structure (schema) of a dataset. The publication of this structure on the Marketplace is subject to prior and discretionary validation by the OpenSyllo Curator, who verifies its compliance with the platform’s standards. The Curator reserves the right to remove any dataset from the Marketplace at any time, should they deem this to be the appropriate or relevant course of action.

    • Upload and Technical Validation: Following approval of the structure, the Data Provider may proceed to upload the data via API. The effective integration of the data into the Marketplace is conditional upon strict correspondence between the data submitted and the previously approved schema, failing which the system will automatically reject it.

    • Access and Interoperability: Access to the data by Data Subscribers is subject to invitation or selection on the Marketplace, with viewing and extraction (via API or file download) being subject to the express or tacit acceptance of the respective Data Provider.

  • App Marketplace: The Platform offers, on an optional basis, an App Marketplace designed to showcase and integrate technological solutions, operating under the following conditions:

    • Membership and Curation: The Marketplace is a feature offered to Application Developers who wish to list their solutions, whether these are Available Applications or Applications Under Development (beta or prototyping phase). The inclusion of any solution is subject to a prior declaration by the Application Developer and subsequent discretionary acceptance by the OpenSyllo Curator, who reserves the right to remove or suspend the listing of any application at any time, should they determine this to be the appropriate measure for the integrity or strategy of the ecosystem.

    • Integration and Protocols: Listed applications may feature different levels of technical integration, which may include single sign-on (SSO) and data synchronisation based on OpenSyllo’s protocols and architecture. The decision to implement these levels of integration rests with the Application Developer, subject to technical validation by the curators.

    • User Interaction: Provision of contact channels to facilitate cooperation between partners and customers.

  • Supplier Marketplace: The Platform offers, on an optional basis, a Supplier Marketplace designed to facilitate promotion and contact between entities within the ecosystem, subject to the following terms and conditions:

    • Registration and Configuration: The Supplier Marketplace is a feature available on a voluntary basis to entities with the profiles of Data Supplier and Application Developer. Their presence and visibility on the marketplace are subject to the mandatory completion of the information fields in the ‘Marketplace Settings’ section for the respective entity.

    • Intermediation and Contacts: This marketplace functions as a direct communication channel, allowing any user or customer to contact the listed entities using the contact details provided by them. The Platform acts merely as a facilitator of this connection and is not responsible for any interactions or transactions arising therefrom.

    • Moderation and Reservation of Rights: Although listing depends on the entity meeting the requirements, the OpenSyllo Curator reserves the right to remove any advertisement or profile from the Supplier Marketplace at any time, should it determine that this is the appropriate measure for the integrity or strategy of the ecosystem.

4.2 Basic terms of use for OpenSyllo

  • Account creation: To use the Platform, the user must register and create an account, using a valid email address as their username (User ID) and a password.

  • Account deactivation: The user may request the deactivation of their account at any time. However, if the user has sole responsibility for the administration of an organisation on the Platform, the deactivation of their personal account will result in the automatic deactivation of the organisation’s profile, unless a successor with equivalent administrative powers has been designated in advance.

  • Provision of accurate information: The user undertakes to provide complete, accurate and up-to-date registration information;

  • Appropriate username: The user identifier corresponds to the institutional email address; the use of third-party data with the intention of impersonating them is not permitted.

  • Single account: The user may not assign, transfer or allow the use of their account by third parties without the prior written authorisation of APS, nor may they hold, control or operate more than one active account on the Platform. Should APS detect the existence of multiple accounts associated with the same user, it may take action without prior notice, including the suspension or cancellation of access;

  • Organisations: If you accept these Terms on behalf of an organisation or entity, you represent and warrant that you have the authority to bind that entity. However, each user must have their own User ID; shared accounts are not permitted;

  • Personal and lawful use: The Services may only be used for lawful purposes, in accordance with these Terms, the conditions of the active Service Plan, and applicable law. APS accepts no liability for the unlawful use of the Services;

  • Account security: You undertake not to share your account or password, and you are responsible for all activities carried out through your account.

  • Marketplace and Contacts: By listing services or applications on the Marketplace, the user/organisation authorises the disclosure of the contact details provided by them. APS acts solely as a facilitator of the technology marketplace, and any interaction or contract entered into between users is the sole responsibility of the parties involved.

5. Users’ Responsibilities

(suppliers and consumers)

Without prejudice to the foregoing, the user shall not, nor shall they allow any third party to, without the prior written authorisation of APS:

a) use, reproduce, frame or display the Website, APS, its trademarks, logos or any other element owned by APS, without express consent;

b) access, monitor or copy any part of the Website using robots, spiders, scrapers or other automatic or manual means;

c) circumvent or breach security mechanisms or technical access restrictions;

d) engage in conduct that imposes an excessive or disproportionate load on the Website;

e) create direct links (deep links) to any part of the Site;

f) remove watermarks, legal notices or ownership notices;

g) alter or attempt to alter the Site, including concealing its origin or ownership;

h) use the Site as part of file-sharing or collective use services;

i) assist or encourage third parties to circumvent security measures;

j) copy, reproduce, distribute, sell, licence or disclose any part of the Site;

k) create derivative works, translations, adaptations or carry out reverse engineering;

l) use the Site in a manner that infringes the rights of third parties.

The user further undertakes not to:

a) make available content without legal or contractual authorisation;

b) capture or reproduce images, data or content from the Website without authorisation;

c) make available content that infringes intellectual property rights, violates the law or is misleading;

d) send unsolicited commercial communications;

e) use the Site for unauthorised commercial purposes;

f) collect personal data from other users without consent;

g) present themselves in a misleading manner;

h) breach applicable legal or professional standards.

APS reserves the right to investigate and take legal action against any breach of these Terms, and may remove content or suspend access without prior notice.

5.1  Restricted areas

Some areas of the website are accessible only after logging in. APS may suspend or terminate access at any time.

5.2  Changes to the Terms

APS reserves the right to amend these Terms. Continued use of the Website following the publication of any amendments constitutes acceptance of those amendments.

6. Responsibilities of the APS

APS does not guarantee the accuracy or completeness of the information provided, which is supplied ‘as is’. APS does not guarantee the continuous availability of the Website or the absence of errors or viruses, and accepts no liability for any damage resulting from its use.

6.1 Limitation of Liability

To the fullest extent permitted by law, APS excludes all warranties and liabilities, including for losses resulting from force majeure, technical failures, acts of third parties or misuse of the Website.

7. Terms of Payment

Use of the OpenSyllo app, in its current version, is provided free of charge and does not entail any financial costs for the user. The service provider reserves the right, however, to introduce payment models, paid features or subscription plans; any changes to this effect will be communicated in good time via the communication channels available within the app. Continued use of the app following the entry into force of new payment terms implies acceptance of those terms; should the user not accept the changes, they may cease use in accordance with the provisions set out in these General Terms and Conditions.

8. Privacy and Data Protection

The processing of personal data is governed by the Privacy and Personal Data Protection Policy, which forms an integral part of these Terms.

Data is processed for the purposes of registration, the provision of services, contract management, compliance with legal obligations, the pursuit of legitimate interests and the development of services, in accordance with Regulation (EU) 2016/679 and applicable legislation.

8.1 Data retention

Personal data will be retained only for as long as is necessary for the purposes of the processing, unless otherwise required by law, after which it will be deleted or anonymised.

9. Intellectual Property

APS holds exclusive ownership of all intellectual property rights relating to the Website and the OpenSyllo Platform, including its architecture, source code, methodologies, trademarks, logos and technical processes. However, within the framework of the Platform’s federated ecosystem model, APS does not claim ownership of the published digital assets:

  • Data: Ownership of the intellectual property rights over the datasets remains with the respective Data Providers, with the Data Marketplace serving as the space dedicated to their dissemination and sharing.

  • Applications: Ownership of the technological solutions integrated into the Application Marketplace remains with their respective Application Developers, this environment serving as a showcase for demonstrating the technical capabilities of the solutions and not as a marketplace for the direct sale of software.

By making content available on the aforementioned Marketplaces, the user grants APS a limited, non-exclusive and royalty-free licence to host and display such materials for the sole purpose of promoting the visibility of their services and solutions to the community. The provision and distribution of this content may be carried out in accordance with the terms of the applicable Tiers (service plans). 

APS retains ownership of the organisation and visual presentation of the exhibition areas, but any interaction, contact or potential licensing of products between users is their sole responsibility.

10. Cookies

This website uses cookies and other local data storage mechanisms (session or persistent local storage) in order to provide its users with an improved and more personalised experience. By accessing and using the services provided, the user consents to the use of cookies, in accordance with applicable legislation.

11. Vírus

Notwithstanding the security measures adopted, we cannot and do not guarantee that the website is compatible with any computer system, nor that the website, or any links from it, are free from viruses, worms, Trojan horses, disabling mechanisms or other code that has contaminating or destructive properties.

The user is responsible for implementing appropriate measures to protect the security and integrity of their computer system, as well as for bearing all costs associated with any services, repairs or connections to their computer system that may prove necessary as a result of using the website.

Without prejudice to the provisions of the preceding paragraphs, the responsible entity shall maintain antivirus software and tools on the systems made available via the website, in accordance with generally accepted industry standards.

12. Changes to the Terms of Use

This version of the Terms of Use is dated 23 June 2026.

These Terms of Use may be amended from time to time without the user’s prior consent, unless otherwise required by law. The specifications, information, materials or content made available on the website are also subject to change without notice.

Except where prohibited by applicable law, we reserve the right to amend these Terms of Use at any time. Continued use of the website following the publication of any amendments constitutes full and unreserved acceptance of the revised Terms.

It is the user’s sole responsibility to consult the Terms of Use regularly in order to be aware of any changes.

13. Governing law and jurisdiction

These Terms of Use are governed by Portuguese law, which applies to the use of the website regardless of the user’s domicile, residence or physical location.

The website is intended for use only in jurisdictions where such use is legally permitted.

Any disputes arising from the validity, interpretation, enforcement or termination of these Terms of Use, as well as those relating to the collection, processing or transmission of personal data, shall be submitted, to the exclusion of any others, to the jurisdiction of the courts of the district in which APS has its registered office, without prejudice to any applicable mandatory legal provisions.

15. General provisions

The user may not assign, sub-license or otherwise transfer the rights granted to them under these Terms of Use.

Should any provision of these Terms be deemed invalid, illegal or unenforceable by a competent court, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

The failure of either party to enforce any right or remedy arising from these Terms shall not constitute a waiver of that right, nor shall it preclude its future exercise.
